2. FMCSA Compliance Responsibility
The client (motor carrier) acknowledges and agrees that they are fully responsible for compliance with all applicable regulations, including but not limited to:
Federal Motor Carrier Safety Administration (FMCSA) regulations
U.S. Department of Transportation (DOT) requirements
Hours of Service (HOS) compliance
Insurance requirements
Licensing and operating authority
Apex Matrix, LLC does not:
Provide legal or regulatory compliance advice
Monitor HOS logs or enforce compliance
Verify load legality or weight compliance
3. No Broker Authority / No Double Brokering
The client agrees:
They hold valid motor carrier authority
They will not engage in illegal double brokering
They will only accept loads they are legally authorized to haul
Apex Matrix, LLC does not act as a broker and does not assume broker responsibilities under federal law.
4. Independent Contractor Relationship
Apex Matrix, LLC operates as an independent contractor.
Nothing in this agreement shall be interpreted as:
A partnership
Joint venture
Employer-employee relationship
The motor carrier maintains full operational control over:
Drivers
Equipment
Routes
Safety practices
5. No Guarantees of Revenue or Loads
We do not guarantee:
Load availability
Specific rates
Revenue levels
Profitability
Dispatch results depend on market conditions, carrier performance, and external factors beyond our control.
6. Rate Confirmations & Agreements
All rate confirmations:
Are between the motor carrier and the freight broker/shipper
Must be reviewed and approved by the motor carrier
Apex Matrix, LLC is not a party to any freight agreement and assumes no liability for:
Payment disputes
Rate discrepancies
Broker non-payment
7. Limitation of Liability
To the fullest extent permitted by law, Apex Matrix, LLC shall not be liable for:
Lost profits or revenue
Business interruption
Load cancellations
Broker disputes or non-payment
Regulatory violations by the carrier
Use of our services is at your own risk.
8. Indemnification
You agree to indemnify and hold harmless Apex Matrix, LLC from any claims, damages, or liabilities arising from:
Your operations as a motor carrier
Regulatory violations
Accidents, cargo claims, or delays
Breach of agreements with brokers or shippers

You agree not to:
Misuse or attempt to hack the Website
Submit false or misleading information
Violate any applicable laws
10. Intellectual Property
